These terms govern your purchase and use of software and services from BNO Audio. By buying a product, creating an account, installing a plugin, or using the BNO Manager application, you agree to these terms. If you do not agree, do not use our products.

1. Who we are

BNO Audio VOF ("BNO Audio", "we", "us") is a general partnership (vennootschap onder firma) registered in the Netherlands.

2. What we sell

We sell digital audio plugins for music production, distributed as VST3 and AU formats. There are no physical goods and nothing is shipped. Delivery consists of a download plus a software license linked to your account.

We also provide:

  • BNO Manager, a desktop application that installs, updates, and activates our plugins.
  • A web account portal at account.bno.audio, where you can manage your licenses and device activations.

3. Orders and payment

Our store runs on Shopify. Prices are shown on the product pages and include or exclude tax as indicated at checkout, depending on your location.

A contract is formed when we confirm your order by email. We reserve the right to refuse or cancel an order, for example in the case of suspected fraud, a pricing error, or a restriction that prevents us from selling to your country. If we cancel an order you have already paid for, we refund you in full.

Payment is handled by Shopify Payments, Shop Pay, and PayPal. We never see or store your full card details.

4. Delivery

After your payment is confirmed, we create a license for you and send you an email with your license details and instructions for accessing your downloads. Delivery is immediate in normal circumstances.

If you do not receive your email within a reasonable time, check your spam folder and then contact support@bno.audio. We aim to respond within 48 hours.

5. License grant

When you buy a plugin, you do not buy the software itself. You buy a license to use it.

Subject to these terms and to payment in full, we grant you a non-exclusive, non-transferable, revocable license to install and use the purchased plugin for your own music production work, whether personal or commercial.

You may:

  • Use the plugin to produce music, including commercial releases. We claim no rights whatsoever in the audio you create. You owe us no royalties, no credit, and no share of your revenue.
  • Activate each plugin on up to 2 devices that you own or control.
  • Deactivate a device through BNO Manager or the account portal, and activate a different one in its place.

You may not:

  • Sell, rent, lease, sublicense, lend, or give away your license or license key.
  • Share your account credentials or license key with anyone else.
  • Copy, distribute, or make the software available to others.
  • Reverse engineer, decompile, or disassemble the software, or attempt to derive its source code, except to the extent that applicable law expressly permits this despite this restriction.
  • Circumvent, disable, or tamper with the licensing, activation, or anti-tamper mechanisms in the software.
  • Remove or alter any copyright, trademark, or other proprietary notices.

6. Ownership

All intellectual property rights in our software, including the code, the DSP algorithms, the user interface, the graphics, the presets we ship, the names, and the logos, remain the exclusive property of BNO Audio. Nothing in these terms transfers ownership to you.

Presets that you create yourself are yours.

7. Activation and license checks

Our plugins use Cryptlex for license management. Activation ties your license to a device and records a machine fingerprint. The plugin performs periodic license checks. See our Privacy Policy for what data this involves.

If you exceed your activation limit, you can free up a slot by deactivating a device through BNO Manager or the account portal.

An unlicensed plugin runs in demo mode. Demo mode is fully functional but periodically inserts an audible noise burst into the output signal. It is intended for evaluation, not for production.

8. Updates and support

We provide updates through BNO Manager. Updates are included at no extra cost for as long as we continue to maintain the product. We do not promise a specific number of updates or a specific support period.

We aim to respond to support requests sent to support@bno.audio within 48 hours.

We may discontinue a product, change its features, or stop supporting an operating system version. We will not revoke a license you have paid for because we have discontinued a product.

9. Refunds

We offer a 14 day refund on all purchases. See our Refund Policy for the details, including your statutory right of withdrawal if you are an EU or EEA consumer.

10. Accounts

You are responsible for keeping your account credentials confidential and for everything that happens under your account. Tell us immediately at support@bno.audio if you suspect unauthorised access.

We may suspend or terminate your account and revoke your licenses without refund if you materially breach these terms, in particular if you distribute our software, share license keys, or tamper with our licensing system.

11. Warranty and conformity

We provide our software with reasonable care and skill, and it should perform substantially as described on our product pages and in our documentation.

We do not warrant that the software will be free of all defects, that it will work with every host, plugin, operating system version, or hardware configuration, or that it will run without interruption. Digital audio workstations and operating systems are complex and change frequently.

If you are a consumer, none of this limits your statutory rights. Under Dutch and EU consumer law you are entitled to digital content that conforms to the contract, and to a remedy if it does not. If a plugin does not work as described, contact us and we will fix it, replace it, or refund you.

12. Limitation of liability

To the maximum extent permitted by applicable law:

  • We are not liable for indirect or consequential loss, including loss of profit, loss of data, loss of projects, studio downtime, or missed deadlines.
  • Our total aggregate liability arising out of or in connection with a product is limited to the amount you paid us for that product.

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, for intentional misconduct or gross negligence, or for any liability that cannot be excluded or limited under applicable law.

Back up your work. Audio plugins interact with your DAW at a low level. Save often.

13. Changes to these terms

We may update these terms. The version in force at the time of your purchase is the version that governs that purchase. We will post the updated version on this page with a new "last updated" date. For material changes affecting existing customers, we will notify you by email.

14. Governing law and disputes

These terms are governed by Dutch law.

If you are a consumer, this choice of law does not deprive you of the protection of the mandatory consumer law of the country in which you habitually reside.

Disputes will be submitted to the competent court in the Netherlands, unless mandatory law gives you the right to bring proceedings in the courts of your country of residence.

If you have a complaint, please contact us first at support@bno.audio. We would rather solve it than litigate it.

15. Miscellaneous

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver of our right to enforce it later.
